OVERVIEW

This document acts as the official Client Contract for SiteImpressions Web Policy. This document should be read carefully, and in conjunction with any other applicable SiteImpressions policies and documents. The purpose of this document is to set the general terms and conditions that will apply to the usage of any SiteImpressions services. This document is subject to change without any notification to the client. It is the clients responsibility to keep current with this document. This document will be sent to the client when necessary, and is also available online on the SiteImpressions website. (http://www.siteimpressions.com/terms.php)

This Agreement constitutes the complete and exclusive agreement between SiteImpressions and the Client with respect to the subject matter hereof, and supersedes all prior oral or written understandings, communications or agreements not specifically incorporated herein. This Agreement may not be modified except in a writing duly signed by an authorized representative of SiteImpressions and the Client.

By utilizing any of the services or products supplied by SiteImpressions, or by accessing the websites made available by SiteImpressions, the client accepts the terms and conditions contained in this document.

SCOPE

This document deals with the general terms and conditions that apply to the usage of SiteImpressions services. This document applies to SiteImpressions and any third parties contracted by SiteImpressions, as well as the client(s). Service specific policies are available for certain SiteImpressions services where applicable.

REQUEST FOR A QUOTATION

  1. Any person or entity can request a quotation from SiteImpressions, as long as in the judgment of SiteImpressions the request is morally acceptable, and as long as the quotation does not conflict with any other SiteImpressions policies.
  2. SiteImpressions will not participate in any project if the purpose of the project seems to be morally unacceptable and / or will jeopardize the business of SiteImpressions.
  3. The quotation will be prepared using the preliminary information given to SiteImpressions by the client. SiteImpressions may suggest including aspects deemed important where it is obvious that the client does not know that these aspects have to be included in the quotation.
  4. A formal quotation will be prepared by SiteImpressions. This quotation will include all aspects the client requires as well as aspects SiteImpressions knows should form part of the project.
  5. The completed quotation, including all technical aspects and costs, will be submitted to the client by email. The client either accepts the quotation or declines it. In either case, the quotation must be digitally accepted by the client by sending an accept/decline notice in writing or via email.

ACCEPTANCE OF A QUOTATION BY THE CLIENT

  1. Once the quotation has been accepted by the client, SiteImpressions will plan the project in conjunction with the representatives of the client. Both the representative(s) and SiteImpressions have definite functions towards delivering the project on time, according to the specification, and within budget.
  2. The client will be notified when the project commences and when it is expected to be completed. These two dates are important as they indicate the payment dates of the deposit (normally 50% of the total cost of development) and the balance (the remainder, as well as any fees that have to be added because of additional requests by the client). If the project commencement date and the completion date are on the same day, the full payment will be due on completion.
  3. The deposit amount and payment terms may be negotiated with SiteImpressions via email.
  4. Proof of payment is to be emailed to SiteImpressions, and the deposit amount reflected in our bank account, before any work will be done on the project.
  5. Additional changes to the project will be added in a phased approach, each phase with its own quote, budget, and planning.

INTELLECTUAL PROPERTY AND COPYRIGHT

  1. All material produced, manufactured, given to, or created by SiteImpressions is viewed as intellectual property. All electronic data, graphics, and documents remain the property of SiteImpressions until the client has fully settled the account.
  2. The client will receive back any hard copy material given to SiteImpressions for the use of website/application construction if requested.
  3. Under no circumstances will the client be allowed to copy electronic data, including code, from the web servers or emails corresponded under agreement with the intention of terminating the contract and then attempting to use this electronic data elsewhere.
  4. All correspondence with SiteImpressions via email is confidential after accepted contract. Any misuse of service, including the taking of intellectual property while under contract, or intent to terminate contract to use, may be subject to full legal action.
  5. SiteImpressions retains the right employ any encryption on web data until completion of projects.
  6. There may be certain aspects which contain copyright, such as graphics, which the client is merely allowed to use, but may not claim ownership to.
  7. SiteImpressions will not be held responsible for any copyright infringements or legal action that may arise as a result of information requested to publish on its projects by its clients, for the following reasons:
    1. The owner (those whom SiteImpressions services) is contractually bound by the agreement as indicated above. The owner may provide some or all of the content for the requested project, and by providing this information, data, graphics etc., accepts legal responsibility and accountability for this information. In the case of legal action, the owner alone will face any consequences that may occur due to copyright infringement.
    2. Any information provided by the client to SiteImpressions, is accepted with the knowledge that the origin of the information is responsibility of the owner and not of SiteImpressions.
  8. SiteImpressions is not under any legal obligation to hold data/back-up's for clients after account has been settled. This is a service rendered for the aid of SiteImpressions' prior clients.
  9. SiteImpressions has the right to use any webpage created for portfolio purposes. If requested, when the site is live, SiteImpressions will take off any main/body, textual content which owner does not wish to be displayed. Backgrounds, layouts and images given by the owner will be used as a show-piece, but not for copying or any future use without written consent.
  10. It is not the legal responsibility of SiteImpressions to trace the origin of information supplied by the owner for any and all legality purposes related to given content.

TERMINATION OF CONTRACT

  1. The contract will be terminated or lead to termination under the following circumstances:
    1. Failure to settle debts
    2. Failure to pay the full amount charged by SiteImpressions for services rendered, unless a lower rate has been negotiated for by the client, and agreed upon by both the client and SiteImpressions.
    3. Client requests additions/changes to the project which is in violation of any SiteImpressions Policy.
    4. Services are at an "At-Will" contract and may be terminated by either party at any time, with acceptable notification. SiteImpressions will give a clear description in case the termination of contract due to reasons other than stated above. If applicable, SiteImpressions, at it's sole discression, give fair warning prior to said occurence.

PAYMENT

  1. Payment plans may change pending on project length and agreed method. Methods include, but are not limited to; hourly wage, up-front in-full or down-payment of $150 and remainder at projects end. Methods will be discussed at pre-evaluation and agreed upon via e-mail and/or phone. Notification will be given via e-mail with an included first invoice ($0 if per hourly rate).
  2. The full amount as specified on the invoice must be paid in full.
  3. Failure to pay will lead to termination of the contract.

CLIENT INFORMATION

  1. The Client should update his/her billing and contact information as soon as able, by visiting the appropriate section on the SiteImpressions website, or by communicating such changes to SiteImpressions via email or phone. Final documentation will be sent for a confirmation of change via e-mail.
  2. Failure to keep information updated, may lead to the Client not receiving notifications and communications from SiteImpressions. The onus is on the Client to make sure that his information is current and correct.

TERMINATING THE CONTRACT

  1. Notice must be given via email to SiteImpressions before termination of contract. SiteImpressions will then produce any property of client's up to current paid period. When final payment for closure is made, SiteImpressions will release all content in the current state at the time of termination.
  2. The fees applicable for services rendered must be paid in full before the contract will be terminated. If service plan was agreed as a per-project basis, an invoice will be lent in the amount of $15/hr to cover costs less prepaid amounts.

GENERAL

  1. SiteImpressions provides multiple services, including Business Marketing Consultation, Promotional Products and a variety of Web Solutions. SiteImpressions accepts no responsibility for the content placed by users/owners via Content Management Systems (chat features or otherwise), or email communications and content of such.
  2. SiteImpressions will not be held responsible for any misuse or abuse of server services. We may help establish ownership or a service with another company if you do not have a server/web hosting provider. SiteImpressions will not be held responsible, or under any obligation to service, maintain or otherwise administer to client's hosting service.

TIMELINES

  1. The length of time it will take to produce the project varies and depends on many factors. SiteImpressions will provide the Client with an estimated timeline, and reserves the right to make changes to the timeline, with prior notification to the Client.

CONSULTATION

  1. Consultation and quote will be provided free of charge to assist the Client with decisions regarding the project. This consultation will take place prior to the project commencing. This can be in person over the phone or via email.

SITE DEVELOPMENT

  1. Once a contract for the project is signed/digitally accepted, the deposit received and the website content provided to the designer, concept artwork for the homepage will be developed and emailed to the Client. The onus is on the Client to approve the artwork, and to communicate with SiteImpressions the changes needed.
  2. Once the artwork is approved, SiteImpressions will develop the homepage and post it on a live server where the Client can view and comment on the homepage.
  3. As soon as the Client has accepted the homepage, development on the rest of the pages will begin.
  4. The Client will be kept up to date with the development process, and the Client should make comments and request changes timorously. This will help SiteImpressions to develop the correct website for the Client, and speed up the development process.
  5. Additional content and change request should be submitted to SiteImpressions within 14 days of project completion, or the project and contract will be considered fulfilled and additional work will be billed at the current rate.

Completion of Site / Other

Our SEO services will include some features after your site is live, including submitting them to the search engines, creating an XML sitemap and a link to our business website. These features along with the already screened content should assist you greatly in the rankings for a new site. There are a few features you should note about SEO:

Once your site is live and in your possession, you will have all passwords and rights to the site. We will gladly perform any minor changes for your within the first 2 weeks (14 days), including placing any new write-ups that you have, or changing some wording. This time starts when declared live on your new server.

Beyond the 14 day period, we will charge a small fee of $25 for minor changes/updates. We will no longer log-into your website to do any FTP work (File Transferring/Updating) which involves any administration to a website, including changing text or pictures for the public view without first asking password/login and express directions.

We will hold a copy of your property, in case you need a back-up. All files will be stored in an external hard-drive and tucked safely away. Should you ask for the back-up of your original website, we do charge a $200 rate to get it up and running again to make sure the correct files are placed and your site is packed soundly.

Any major changes or bug problems, which were not in result in part of our initial service, can be done for a cost. Because of the variance of changes or problems that may be created, we will hold a phone interview, estimate the project length and charge $25 per hour for these modifications.

Your website files have been constructed to include multiple files per page (usually in different folders). Should you delete one of these files, you may lose a section to one of your pages, or even a section to all of your pages, either causing your site to have a ‘hole’ or not function at all.

For another programmer or anyone with a basic knowledge of HTML to change your content or files, they would be easily located and understandable. The main pages are for data structure/CSS and the 'includes' file is for content and layout parts. If an acquaintance knows basic code, it shouldn’t be difficult by any means to update something, but to note, we can’t promise security in this instance and we will not be held responsible.

Please do note that we do also provide services in promotional products to help you drive people to your new website. Things like business cards, mouse-pads, banners, signs, polo’s, vinyl on your car, or pens can be ordered with your business name/logo/slogan on them to help assist you in your production/marketing. You may view many of these products at http://www.siteimpressions.com/promotional-products.php to gather ideas or order directly. There are many case-studies to show how effective this can be. We bring no dissatisfaction.
